This Dawn NewsABUJA, Nigeria — The Central Bank of Nigeria (CBN) has granted JPMorgan Chase approval-in-principle to establish a merchant bank in Nigeria, paving the way for the United States financial giant to expand its presence in Africa’s largest economy.

The preliminary approval marks a significant step in JPMorgan’s plan to move beyond its existing representative-office operations in Nigeria and establish a locally licensed banking subsidiary.

According to Reuters, the proposed institution, JPMorgan Merchant Bank Nigeria Limited, is expected to focus on wholesale banking, capital markets and advisory services.

CBN spokesperson and Head of Investor Relations, Michael Akuka, confirmed the development, Reuters reported on Friday.

However, the approval-in-principle does not constitute a final banking licence.

JPMorgan must still satisfy the outstanding regulatory requirements, including incorporation and operational approvals, before it can commence banking operations.

JPMorgan Moves Closer to Establishing Nigerian Banking Operation

The approval follows JPMorgan’s preparations to establish a merchant banking subsidiary in Nigeria as it seeks to deepen its participation in the country’s financial markets.

On October 8, Dapo Olagunji, managing director of JPMorgan West Africa, announced plans to establish a merchant bank in Nigeria.

Its operations are initially targeted for commencement before the end of 2026, subject to regulatory approval.

The announcement was made at the Nigeria–Asia Financial Connectivity Dialogue in Singapore, convened by the CBN in collaboration with JPMorgan, Nigerian Exchange Group and FMDQ Group.

The bank subsequently moved closer to securing regulatory approval after reportedly depositing ₦50 billion with the CBN to meet a key capital requirement for a nationally licensed merchant bank.

The deposit was reported by Bloomberg and Nigerian media outlets earlier in October.

At the time, the payment did not guarantee approval, as the central bank still had to determine whether the application satisfied its licensing requirements.

The latest approval-in-principle represents a further step in that process.

What Will JPMorgan Merchant Bank Nigeria Do?

The proposed merchant bank is expected to concentrate on wholesale financial services rather than operate as a conventional retail bank serving the general public.

Its anticipated areas of focus include corporate and institutional banking, capital markets transactions, financial advisory services and other wholesale banking activities, subject to the scope of its final licence.

JPMorgan has maintained a representative office in Lagos, through which it has supported corporate and investment-banking activities, including advisory work involving Nigerian companies and government-related transactions.

Establishing a licensed merchant bank would allow the financial institution to expand its activities within the limits authorised by the CBN.

For major Nigerian businesses, the development could create additional opportunities to access international financing, capital-markets expertise and cross-border financial services.

Why the ₦50 Billion Capital Requirement Matters

The CBN’s merchant-banking capital requirements formed an important part of JPMorgan’s application.

In 2024, the central bank raised the minimum capital requirement for merchant banks holding national licences to ₦50 billion under its banking-sector recapitalisation framework.

JPMorgan’s reported deposit of that amount was therefore a significant step towards satisfying the financial requirements for its proposed Nigerian operation.

Nevertheless, meeting a capital requirement does not automatically confer a banking licence.

Regulatory incorporation, operational readiness and other applicable conditions must also be satisfied.

The distinction between approval-in-principle and final licensing is important.

JPMorgan has secured preliminary regulatory clearance, but the proposed bank has not yet been confirmed as fully licensed to begin operations.

Potential Implications for Nigeria’s Financial Sector

The proposed entry of JPMorgan comes as Nigerian authorities seek to deepen domestic financial markets, attract foreign investment and strengthen confidence in the country’s financial system.

The establishment of a locally licensed merchant bank could increase competition for corporate and institutional banking business, particularly in financing, treasury services, capital markets and advisory transactions.

It could also give Nigerian companies another potential channel through which to engage with international investors and financial institutions.

However, the extent of these benefits will depend on the services the CBN ultimately authorises.

It also depends on the bank’s operating model and the level of demand from Nigerian businesses and institutions.

JPMorgan’s expansion plans also reflect broader interest in African markets.

International banks are seeking opportunities in trade finance, corporate banking, payments and investment services in the continent.

Nigeria’s Place in JPMorgan’s Emerging-Markets Strategy

The development follows the decision of JPMorgan to include Nigeria in its Government Bond Index–Emerging Markets Edge, a benchmark tracking local-currency government bonds in emerging markets.

Nigeria’s inclusion in the index has renewed attention on its domestic debt market among international investors.

A locally licensed merchant bank would represent a separate but related development, potentially expanding JPMorgan’s ability to serve corporate and institutional clients operating in Nigeria.

The CBN’s approval-in-principle is therefore an important milestone for the bank’s Nigerian expansion plans.

However, the commencement date and full scope of operations remain subject to the completion of regulatory requirements.

This Dawn News will update this report as further details emerge on the final licensing process and the proposed bank’s operational launch.
